These Terms of Service (“Terms”) govern your access to and use of the ColdRxMeds website at coldrxmeds.com (the “Site”) and all services offered by Cold Rx Meds Inc. (“ColdRxMeds,” “we,” “us,” or “our”).

By accessing the Site, creating an account, or placing an order, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Site or our services.

These Terms apply to all users of the Site, including individuals placing personal orders and representatives of organizations accessing our services on behalf of an employer, TPA, PBM, or cost-containment program.

To use our services and place prescription orders, you must meet the following requirements:

Account responsibility

You are responsible for maintaining the security of your account credentials. You must notify us immediately at info@coldrxmeds.com if you suspect unauthorized access to your account. ColdRxMeds is not liable for any loss or damage arising from unauthorized account access resulting from your failure to protect your credentials.

ColdRxMeds reserves the right to refuse service, suspend, or terminate accounts at our discretion, including where we suspect misuse, fraud, or a breach of these Terms.

ColdRxMeds operates as a prescription-only service for all regulated medications. We do not dispense prescription medications without a valid prescription under any circumstances.

• A valid prescription from a licensed physician in your jurisdiction is required for every prescription medication order.
• All prescriptions must be written in English. Prescriptions in other languages require a certified English translation before your order can be processed.
• Prescriptions are subject to review and verification by a licensed pharmacist at our dispensing pharmacy partner prior to dispensing. We reserve the right to decline to process any order where the prescription cannot be verified or is deemed invalid.
• You must not submit forged, altered, or otherwise fraudulent prescriptions. Doing so is a criminal offence and will result in immediate account termination and referral to the appropriate authorities.
• ColdRxMeds does not provide prescriptions, referrals, or medical advice. We are a sourcing and fulfillment service only.

Order processing

Placing an order on our Site constitutes an offer to purchase the medication specified. Orders are not confirmed until we have verified your prescription and confirmed stock availability. We reserve the right to decline or cancel any order at our discretion, including where a medication is unavailable, a prescription cannot be verified, or we suspect fraudulent activity.

You will receive an order confirmation by email once your order has been accepted and forwarded to our dispensing pharmacy partner.

Pricing

All prices displayed on the Site are in U.S. dollars unless otherwise stated. Prices are subject to change without notice. The price charged for your order will be the price displayed at the time of checkout. Shipping costs are calculated separately and displayed at checkout before payment is confirmed.

Payment

Payment is required in full at the time of order. We use secure third-party payment processors to handle all payment transactions. ColdRxMeds does not store your full payment card details on our systems. You authorize ColdRxMeds to charge your selected payment method for the total order amount including applicable shipping fees.

Order cancellation

You may request to cancel an order before it has been dispensed by contacting us at info@coldrxmeds.com. Once an order has been dispensed by our pharmacy partner, it cannot be cancelled and standard refund policy applies. See Section 6 for our returns and refunds policy.

All orders are dispatched from our licensed pharmacy partners in Canada or the United Kingdom. Shipping is currently available to addresses within the United States.

Delivery timelines are estimates only and are not guaranteed. ColdRxMeds is not liable for delays caused by carrier issues, customs processes, weather events, or circumstances beyond our control.

It is your responsibility to ensure the delivery address provided is accurate and complete. ColdRxMeds cannot reship or refund orders that are undeliverable due to an incorrect or incomplete address provided at checkout.

Due to the nature of prescription medications and cold chain requirements, we are unable to accept returns of dispensed medications under most circumstances. The following policy applies:

All refund and reship requests should be directed to info@coldrxmeds.com with your order number and a description of the issue. We respond to all order issues within one business day.

You agree not to use the Site or our services for any of the following purposes:

Communications

By creating an account, you consent to receiving transactional emails related to your orders and account. We may also send you service updates and relevant information about ColdRxMeds. You may opt out of non-transactional communications at any time by clicking the unsubscribe link in any email or by contacting us at info@coldrxmeds.com. You cannot opt out of transactional emails related to active orders.

Savings estimates and pricing comparisons presented on this Site are based on publicly available U.S. wholesale acquisition cost data and typical ColdRxMeds sourcing rates. Actual savings will vary based on medication, dosage, market conditions, and program structure. Past savings are not a guarantee of future pricing.

To the fullest extent permitted by applicable law, ColdRxMeds, its directors, employees, pharmacy partners, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Site, your order, or the delivery of any medication — including but not limited to loss of health outcomes, adverse drug reactions, delays in delivery, or damage caused by temperature excursions during transit that were not caused by our failure to meet our stated cold chain protocols.

In all cases, ColdRxMeds’ total liability to you for any claim arising out of these Terms or your use of our services shall not exceed the total amount paid by you for the specific order giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

ColdRxMeds reserves the right to update or modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email or by a notice on the Site.
